Form Your Trucking LLC and Get an EIN (Before You Touch the FMCSA)
Your legal name and EIN get welded to your FMCSA docket. Getting them wrong costs three weeks and a re-papering of every broker you signed with.

Almost every expensive mistake in a trucking launch traces back to the first hour. New carriers file for a USDOT number under a personal name, then form an LLC two weeks later, and discover that the docket, the insurance filing, the IRP account, and eleven broker agreements all point at an entity that no longer exists. FMCSA does not treat this as a typo. It treats it as a new carrier.
Sole proprietor vs. LLC for a one-truck operation
You can legally hold operating authority as a sole proprietor using your Social Security number. Very few carriers should. The truck is a 40-ton liability generator, and your primary liability policy is the only thing between a bad afternoon and your house. An LLC does not make you invincible — it will not protect you from your own negligent driving — but it separates business creditors, equipment debt, and contract disputes from personal assets.

Which state should you register in?
Register where the truck is physically domiciled and where you actually live. The internet is full of advice about forming in Delaware, Nevada, or Wyoming. For a carrier, that advice is usually wrong: IRP requires an established place of business in your base jurisdiction, and registering out of state typically means paying a registered agent plus foreign-qualifying in your home state anyway. You get two annual reports and no benefit.
- Base jurisdiction for IRP must be where you have a physical business address and where mileage records are kept.
- Your principal place of business on the MCS-150 should match the entity address.
- A PO box will fail both. Use a real street address you can receive service of process at.
Naming the company so it works downstream
Your legal name appears on the FMCSA snapshot brokers pull, on certificates of insurance, and on the truck door. Two practical rules: make it searchable and make it spellable over a bad phone connection. "J&R Logistics Solutions Group LLC" competes with four hundred near-identical results when a broker searches you; a distinct name does not. If you want a shorter operating name, file a DBA and add it to the MCS-150 as a trade name rather than juggling two entities.
How to form a trucking LLC and get an EIN

Check name availability
Search your Secretary of State business database and the FMCSA carrier search for conflicts and near-matches. Reserve the name if your state allows it.

File articles of organization
File online with your Secretary of State. Most states confirm within minutes to five business days. Keep the stamped certificate — insurers and factors ask for it.

Adopt an operating agreement
Even a single-member LLC should have one. Banks, factors, and equipment lenders request it, and it is part of maintaining the liability separation you paid for.

Get an EIN from the IRS
Apply directly at irs.gov — it is free and issued immediately during business hours. Never pay a third party for this. Your EIN goes into Motus, your insurance application, Form 2290, and your W-9.

Open a business bank account
Bring the articles, EIN letter, and operating agreement. Do this before your first settlement so factoring and fuel card ACH details are correct from the start.

Confirm your legal name string
Write down the exact legal name, including punctuation and "LLC" versus "L.L.C." You will type it identically on every filing for the next decade.
